At CCD&L clients enjoy one-on-one relationships with their attorneys. Attorney and client work together in their efforts to accomplish the client's immediate and future goals. Today, our attorneys use up-to-date office technology, to do in minutes what would take hours to do manually. While this automation provides efficient delivery of information, at CCD&L it never precludes the personal service of the attorney.

Another distinguishing aspect of CCD&L is our ability to pool creative input from various areas of expertise within the firm to thoroughly address the client's needs. So, while a client is usually served directly by one attorney, that attorney may draw on the knowledge of many attorneys throughout the firm. This approach promotes the value and efficiency of our services.

AREAS OF PRACTICE

CORPORATE: An entrepreneurial spirit distinguishes the service CCD&L offers its corporate clients. Whether the client is embarking on a new business venture or is well established in business yet seeking new ways to adapt to ever-changing legal, regulatory and tax environments, our attorneys research the client's needs and expand on the client's ideas to help them succeed. Some of the services provided include: the formation of corporations, partnerships, professional associations, joint ventures, franchises and investment syndicates, as well as day-to-day activities such as the preparation of minutes, annual reports, and by-laws; and negotiation, preparation and interpretation of leases, agreements and contracts.

EMPLOYMENT LAW: Today's world has evolved into one in which the average person will change jobs, even professions, several times during his or her working years. New and challenging issues are constantly facing both the employer and the employee in the workplace. CCD&L, recognizing the increasing complexity of employer-employee relationships, has developed an expertise in the field of employment law and offers a full array of services for both the employer and the employee, including seminars, document preparation, negotiation and litigation at both the state and federal levels.

TAXES: CCD&L offers legal services in tax planning and consulting to individuals and to businesses to minimize or defer corporate or personal taxes. Some of the vehicles our attorneys use to accomplish this include: structuring tax shelters; Starker Tax Deferred Exchanges; counseling mergers, acquisitions and reorganizations; representing clients before the Internal Revenue Service and appropriate courts; structuring pension, profit-sharing and deferred compensation plans; and planning for the special tax problems of owners of closely-held businesses.

SECTION 1031 TAX FREE EXCHANGE: CCD&L counsels clients regarding the tax implications of tax-free exchanges and prepares the necessary trust and escrow documents to consummate the Section 1031 Exchange.

HEALTH CARE: Health care law continues to grow rapidly, encompassing a host of health care providers --from nursing homes and other institutions to individual practitioners such as physicians and allied health care professionals. CCD&L maintains an edge in this highly specialized area through attorney expertise and by coordinating the resources of other areas of practice, including general corporate, labor and employment, trust, probate, tax, real estate, securities law and litigation.

ENVIRONMENTAL: CCD&L offers services in all aspects of environmental law and regulation on the local, state and federal levels. Environmental law services are not restricted to large industrial companies but may be helpful for any company whose operation may affect air, surface water, land, or may produce hazardous waste, groundwater or noise problems. The firm counsels clients regarding the restrictions imposed by Federal, State and local codes, ordinances and regulations which may effect their existing or intended use of property. The firm also advises clients concerning hazardous waste issues and other pollution related matters, aids clients with the regulatory restrictions effecting the use of their property or business including issues relating to wetlands, flood plains, health codes and liquor licensing as well as the applicable zoning, subdivision and building codes, and advises clients on filings required for Army Corps, IEPA, OSHA, FEMA, IDOT and other regulatory agencies.

COMMERCIAL REAL ESTATE: Resourcefulness and flexibility are the basics we employ to help clients anticipate and meet changes in this rapidly fluctuating area. We offer a full range of legal expertise from conventional mortgage financing to complex syndications and service the entire commercial real estate industry from condominiums, apartment complexes, shopping centers, offices, and hotels to industrial developments. We counsel clients and prepare documentation to shelter profits through tax deferred Starker Exchanges.

ESTATE PLANNING Estate planning and the administration of the estate requires flexibility and sensitivity to each client's individual needs. At CCD&L, our objectives are simply to help our clients meet present and anticipate future needs. We advise clients on an on-going basis of the legal and tax changes that may affect them. At the same time, we help our clients recognize and anticipate the changes in their own circumstances that may have significant legal or tax implications. Our ability to apply innovative techniques from corporate, partnership and real estate law enables us to meet the special estate planning needs of the owners of closely held businesses and of farmers. Similarly, our estate planning for professionals and executives benefits from our creative experience in qualified plans and tax shelters. Because we maintain a professional, realistic and independent position, we enjoy good working relationships with the major trust departments, financial institutions, insurance industry representatives and financial consultants and advisors in the areas we serve.

FAMILY LAW: Whether we are helping the client assure the permanency of adoption, secure custody of a child, or establish economic independence for a later marriage, CCD&L attorneys specializing in family law recognize the need to identify both the client's immediate needs and the long-term effects of legal action in this area. Our family law attorneys understand that dissolution of marriage is an extremely critical personal decision that requires immediate and accurate legal information regarding rights, responsibilities and obligations. The resolution of differences between spouses requires skilled and often aggressive negotiation and representation. Expertise in many diverse areas of law - including real estate, tax, corporate and contract law - is essential to dissolution cases. CCD&L provides this full range of legal service with the sensitivity this area requires.

RESIDENTIAL REAL ESTATE: Whether you're buying or selling, the firm can handle your real estate transaction. The firm reviews and counsels clients regarding the legal and tax aspects of contracts for the purchase or sale of vacant, residential, commercial and industrial properties. We also prepare all necessary documentation to comply with Federal, State and local codes, ordinances and regulations.

CRIMINAL DEFENSE: The firm represents clients in all areas of criminal allegations, including felonies and misdemeanors.

TRAFFIC MATTERS: The firm provides complete representation for all matters related to motor vehicle violations.

FINANCIAL GENERAL COUNSEL: CCD&L represents financial institutions in all phases of their operations, from assuring that their methods of regulatory compliance are legally sufficient to representing institutions in mortgage foreclosures and replevins. Advice on day-to-date operating problems includes such services as loan negotiation and the documentation, working out arrangements with customers in financial difficulty, loan participation agreements between institutions, questions involving documentation of deposits or account ownership, and the disposition of funds held in accounts. Our attorneys also assist financial institutions in the development of new products and services and the appropriate vehicle for their delivery.

MERGERS AND ACQUISITIONS: CCD&L is experienced in helping financial institutions structure mergers, acquisitions in the formation of holding companies. In each case, our attorneys work to help the clients determine and execute the appropriate strategy and structure to be used. Our attorneys also ensure compliance with federal and state securities; state corporate law in the establishment of holding companies; and satisfying federal and state regulatory agencies that control banking institutions.

LITIGATION (GENERAL): CCD&L has successfully represented individuals, businesses, groups and administrative agencies in a complete range of litigation in both federal and state courts at the trial and appellate levels. Our attorneys are familiar with state and federal courts.

PROFESSIONAL LIABILITY AND MALPRACTICE ACTIONS: The firm's case load of malpractice and professional liability cases include representation on behalf of physicians, architects, engineers, contractors, accountants, their insurers and attorneys.

COMMERCIAL LITIGATION: An adjunct to other corporate counsel within CCD&L, our litigation attorneys represent corporate clients in court when necessary. At those times, clients benefit from combined expertise of these two areas as CCD&L litigation attorneys and corporate console general counsel attorneys work together to obtain the most comprehensive view possible of the client's position.

APPEALS: All civil and criminal appeals to the Illinois Appellate Courts and the Illinois Supreme Court.

ZONING/ANNEXATION: Our firm has been involved in the annexation/zoning of thousands of acres of land in McHenry County and Northern Illinois. We have counseled clients regarding the zoning and construction of over one million square feet of industrial development and a like amount of commercial development. In addition, we have represented small and large developers of residential, commercial and industrial properties achieve their goals. We will be responsible for preparing all required notices, petitions, annexation agreements, and other legally required documents. We will also prepare witnesses for hearing and coordinate the services of all experts retained by the client.

The firm has also represented clients with unique requests such as landfills, gravel extraction, electric peaker plants, interstate pipelines, assisted living complexes and waste transfer stations to obtain the special use zoning required for their operations.

PERSONAL INJURY: CCD&L offers representation to individuals and families in the area of personal injuries and wrongful death. Our attorneys have experience in handling all aspects of these matters ranging from dealing with claim representatives to complex jury trials.

WORKERS COMPENSATION: CCD&L represents many individuals who sustain injuries during the course of their employment. Our attorneys provide efficient and effective representation throughout every facet of these matters including arbitration before the Illinois Industrial Commission.
